Definitions

Throughout these Terms, the following definitions apply:

• "HUMION", "we", "us", "our" — HUMION Ltd., the provider of the services described herein.
• "Client", "you", "your" — any individual or legal entity that accesses or uses HUMION services.
• "Platform" — the HUMION software platform, AI avatar engine, and associated interfaces accessible via humion.net.
• "SaaS" — the subscription-based software-as-a-service model for accessing the HUMION Platform.
• "Kiosk" — physical touchscreen hardware unit provided by HUMION for event or venue deployment.
• "Content" — any text, images, scripts, media, or data uploaded or generated through the Platform.

Services

HUMION provides AI-powered interactive avatar host solutions, including:

• SaaS Platform — cloud-based access to AI avatar configuration, management, and deployment tools under a monthly or annual subscription.
• Kiosk Rental — short- or long-term rental of physical kiosk hardware pre-loaded with the HUMION platform, for events, venues, and brand activations.
• Custom Projects — bespoke AI avatar configurations, integrations, or deployments delivered on a project basis.

HUMION reserves the right to modify, suspend, or discontinue any part of the services at any time, with reasonable prior notice where possible.

Account & Access

To access certain features of the Platform, you may be required to create an account. You agree to:

• Provide accurate and complete registration information.
• Maintain the security of your login credentials.
• Notify us immediately of any unauthorized use of your account.
• Take full responsibility for all activities that occur under your account.

HUMION reserves the right to suspend or terminate accounts that violate these Terms or exhibit suspicious activity.

SaaS Subscription

SaaS subscriptions are offered on monthly or annual billing cycles. The current plans and pricing are listed on humion.net/pricing (subject to change).

• Subscriptions renew automatically unless cancelled before the renewal date.
• You may cancel your subscription at any time through your account dashboard or by contacting us.
• Upon cancellation, access continues until the end of the current billing period. No partial refunds are issued for unused time unless required by applicable law.
• HUMION may update pricing with at least 30 days' written notice before any price increase takes effect for existing subscribers.

Kiosk Rental

Kiosk rental is governed by the specific rental agreement signed between HUMION and the Client. General conditions include:

• The Client is responsible for the physical safety and security of the kiosk during the rental period.
• The Client must not modify, disassemble, or attempt to reverse-engineer the hardware or software.
• Damage to equipment caused by misuse or negligence will be charged to the Client at replacement cost.
• Kiosks must be returned in the agreed condition and within the agreed timeframe.
• HUMION provides on-site or remote technical support as specified in the rental agreement.

Payments & Billing

All fees are quoted in USD unless otherwise stated in your agreement. Payments are processed via our designated payment providers.

• Invoices are due within the timeframe specified (typically 5–14 business days).
• Late payments may result in service suspension and may accrue late fees as specified in your contract.
• All fees are exclusive of applicable taxes, which are the Client's responsibility.
• Disputes regarding invoices must be raised in writing within 7 business days of receipt.

Intellectual Property

HUMION IP: All technology, software, AI models, interfaces, designs, trademarks, and content created by HUMION remain the exclusive property of HUMION Ltd. No license is granted beyond what is explicitly stated in these Terms.

Client Content: You retain ownership of any original content you upload to the Platform. By uploading content, you grant HUMION a limited, non-exclusive license to use that content solely to provide the services you have subscribed to.

Restrictions: You may not copy, distribute, modify, reverse-engineer, or create derivative works based on HUMION's Platform or technology without prior written consent.

Acceptable Use

You agree not to use HUMION services to:

• Violate any applicable law or regulation.
• Infringe on the intellectual property rights of others.
• Upload or transmit harmful, offensive, defamatory, or illegal content.
• Attempt to gain unauthorized access to HUMION systems or other users' accounts.
• Use the Platform in a way that disrupts or degrades service for others.
• Impersonate any person or entity or misrepresent your affiliation.
• Use the AI avatar system to spread misinformation, deepfakes, or deceptive content.

HUMION reserves the right to investigate and, where appropriate, suspend or terminate access for violations of this policy.

Disclaimers

HUMION services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or fully secure. We are not responsible for any disruptions caused by third-party infrastructure, internet connectivity issues, or force majeure events.

Limitation of Liability

To the fullest extent permitted by applicable law, HUMION Ltd. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use or inability to use our services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising under these Terms shall not exceed the total amount paid by you to HUMION in the three (3) months preceding the event giving rise to the claim.

Termination

Either party may terminate a service agreement with written notice as specified in the applicable subscription or rental agreement.

HUMION may suspend or terminate access immediately if you:

• Materially breach these Terms and fail to remedy the breach within 7 days of written notice.
• Engage in fraudulent, illegal, or abusive activity.
• Fail to pay outstanding invoices after a cure period.

Upon termination, your right to use the Platform ceases immediately. Sections on Intellectual Property, Limitation of Liability, and Governing Law survive termination.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws applicable to HUMION Ltd.'s place of incorporation, without regard to conflict of law principles.

Any disputes arising under these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration or the competent courts as specified in your individual agreement.

For clients in the European Union, nothing in these Terms affects your statutory consumer rights under EU law.

Changes to These Terms

HUMION reserves the right to modify these Terms at any time. We will notify active clients of material changes via email or a prominent notice on our website at least 14 days before the changes take effect.

Continued use of our services after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.
